Terms and Conditions
Effective Date: 26 October 2025
These Terms and Conditions (“Terms”) govern your use of the services provided by Prior Guard (“we”, “us”, or “our”). By accessing or using our website or purchasing any report or service, you agree to be bound by these Terms.
1. Service Description
Prior Guard provides informational freedom-to-operate (FTO) reports designed to assist startups in identifying potential patent-related risks and/or assist startups in obtaining funding that requires such documentation. These reports are generated using automated tools and publicly available data, and are intended to support early-stage decision-making.
2. Confidentiality and Data Protection
We treat all information you provide to Prior Guard as strictly confidential. Any product descriptions, technical details, or supporting materials submitted for the purpose of generating a report will be handled with care and discretion. We will not sell, rent, or share your data with any third parties, except where required by law. Access to your information is limited to personnel directly involved in delivering the service, and we take reasonable technical and organisational measures to protect your data from unauthorised access or disclosure.
3. No Legal Advice
All reports and content provided by Prior Guard are for informational purposes only and do not constitute legal advice. We are not a law firm and do not offer legal representation. You should consult a qualified intellectual property attorney before making any legal, commercial, or strategic decisions based on our reports.
4. Best Efforts and No Guarantee
We use commercially reasonable efforts to ensure the accuracy and relevance of our reports. However, due to the complexity of patent law, the evolving nature of intellectual property databases, and the limitations of automated analysis, we do not guarantee the completeness, accuracy, or legal sufficiency of any report. Our service is provided on a best-efforts basis, and you acknowledge that results may vary depending on the nature of your product, jurisdiction, and available data.
5. Limitation of Liability
To the fullest extent permitted by law, Prior Guard shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of our services or reliance on our reports. This includes, but is not limited to, loss of profits, business interruption, reputational harm, or legal disputes resulting from patent infringement or related claims.
6. User Responsibilities
You are solely responsible for providing accurate and complete information when submitting a request for a report. You agree not to use our services for unlawful purposes or to misrepresent your intentions or product details.
7. Jurisdiction and Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
8. Changes to Terms
We reserve the right to update or modify these Terms at any time. Any changes will be effective upon posting to our website. Continued use of our services after such changes constitutes your acceptance of the revised Terms.
